Back-Charge / Set-Off Rights

In case of default by Contractor, the City of Sacramento may procure the articles or services from other sources and may deduct from any monies due, or that may thereafter become due to the vendor, the difference between the price named in the contract or purchase order and actual cost thereof to the City of Sacramento.
Broad Indemnification / Hold Harmless

CONTRACTOR shall assume the defense of, and indemnify and save harmless, the CITY, its officers, employees and agents, and each and every one of them, from and against actions, damages, claims, losses or expenses of every type and description to which they may be subjected or put, by reason of, or resulting from, the performance of the Work, whether upon or off the Work, including the loss of use thereof and caused in whole or in part by any act or omission of the CONTRACTOR.
Collective Bargaining Agreement / Union Requirements

Until the expiration of a current collective bargaining agreement(s) where, in fact, employee benefits are governed by a collective bargaining agreement(s)... I take all reasonable measures to end discrimination in employee benefits by either requesting the union(s) involved agree to reopen the agreement(s) in order for me to take whatever steps are necessary to end discrimination in employee benefits or by my ending discrimination in employee benefits without reopening the collective bargaining agreement(s).
Flow-Down Obligations to Subcontractors

A contractor is responsible for requiring all of its subcontractors who are covered by these requirements to comply with the provisions of the LWO, by including these requirements in all subcontracts covered by the LWO... CONTRACTOR shall require and verify that all subcontractors maintain insurance coverage that meets the minimum scope and limits of insurance coverage specified in subsection A, above.
Liquidated Damages for Delay

If CONTRACTOR has not completed the Work on or before the Completion Date as adjusted by change order or any extension of time granted by CITY, if any, the CITY may terminate the Contract at any time thereafter. Upon such termination, CONTRACTOR shall not be entitled to receive any compensation for services rendered after such termination and CONTRACTOR shall be liable to CITY for liquidated damages for all periods of time beyond such termination date until the work is completed.
